This Limited warranty agreement ("Agreement") is made by and between Nimbus Suspensions ("Nimbus," "We," "Us," or "Our") and the original retail purchaser ("Purchaser" or "You") of a new Nimbus suspension Product or Nimbus ∆P Product ("Product" or "Products"). Suspension Products include Nimbus off-road units and Aether units for Tesla Model 3 and Model Y.
PLEASE READ THIS AGREEMENT CAREFULLY. IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR RIGHTS, OBLIGATIONS, AND CLAIM PROCESS.
Warranty coverage
Nimbus warrants that its Products, when purchased new from Nimbus or an authorized seller and used, installed, and maintained as applicable under this Agreement, will be free from defects in material and workmanship under normal intended use, subject to the terms below.
1.1. Suspension Products
The following two-part coverage applies to Nimbus off-road suspension units and Nimbus Aether suspension units for Tesla Model 3 and Model Y:
- Structural coverage (housing, cylinder, piston, shaft, reservoir, and structural hardware): Nimbus provides a Lifetime Limited Warranty against manufacturing defects in material and workmanship. By default, this coverage applies while the original purchaser owns the vehicle on which the Product was first installed.
- Wear-component coverage (dynamic seals and O-rings, bushings, spherical bearings where present, valves, shims, and internal hydraulic fluid): Nimbus provides a One (1) Year or 25,000 Miles Limited Warranty, whichever occurs first, against manufacturing defects that cause premature failure.
Nimbus warrants the covered Aether components only. This Agreement does not cover the Tesla vehicle or Tesla-manufactured components, and does not create, extend, or modify Tesla's manufacturer warranty.
1.2. Nimbus ∆P Products
All new Nimbus ∆P Products carry a Two (2) Year Limited Warranty from delivery against defects in materials and workmanship under normal intended use. Covered items include the head unit, gauge, hose, cartridges, Charging Ramp hardware, and the ∆P components included in a Product or bundle. Normal nitrogen depletion is not a defect.
The Nimbus entity or authorized ∆P seller that sold the Product is the customer-facing warranty holder. Nimbus support may route the claim to the correct warranty holder.
1.3. Scope of coverage
For an approved claim, Nimbus will repair or replace the defective Product at its discretion. The standard shipping contribution described in Section 3.4 is calculated from the Product's original delivery location.
Conditions and requirements for warranty validity
To maintain the validity of this Limited Warranty, the Purchaser must adhere to the following conditions:
2.1. Original purchaser and proof of purchase
This warranty is extended only to the original retail purchaser of the new Nimbus Product and is not transferable to a subsequent owner. Proof of purchase from Nimbus, an authorized dealer, or an authorized ∆P seller must be provided for any warranty claim. Nimbus or the selling warranty holder must be able to verify the purchase through its records.
For suspension Products, coverage applies by default to the vehicle of first installation. Continued coverage on another vehicle requires formal written pre-approval from Nimbus, technical eligibility, and completion of the Nimbus-defined inspection, re-valving, service, hardware, installation, and documentation path. Nimbus states the continuing coverage and dates in writing. ∆P coverage is not tied to a vehicle, but remains limited to the original purchaser and the original two-year period.
2.2. Installation and intended use
A suspension Product, including Aether, must be installed by a qualified professional mechanic, or by the Purchaser if they possess verifiable mechanical expertise. Installation must follow the official Nimbus instructions and applicable vehicle-safety and compliance laws.
A ∆P Product must be used only with compatible nitrogen systems and within its published pressure, gas, filling, storage, and transport instructions. Warranty coverage is not conditioned on buying refill service from Nimbus or a specific partner; however, damage caused by an incompatible source, overpressure, contamination, incorrect filling, or use contrary to instructions is excluded.
2.3. Product maintenance
For suspension Products, including Aether, maintaining coverage requires the Purchaser to follow this mandatory Nimbus maintenance schedule:
- Periodic inspection and torque checks: All mounting bolts, fasteners, and connections related to the Nimbus Oleo-pneumatic suspension units must be checked for proper tightness and torque after the first 160 km (100 miles) of use and every 5,000 km (3,000 miles) thereafter. Professional mechanic inspections are highly recommended at these intervals.
- Fluid and seal integrity checks: Regular visual inspections for fluid leaks, damage to seals, and proper operation of the unit are required. Any signs of leakage or damage should be addressed promptly.
- Cleaning: Keep the exterior of the oleo-pneumatic units clean from excessive dirt, mud, and corrosive substances to prevent premature wear of seals and finishes.
The suspension torque schedule does not apply to ∆P Products. ∆P owners must follow the published inspection, filling, pressure, storage, and transport instructions and stop using any Product that appears damaged or operates abnormally.
Warranty claim process
If You believe Your Nimbus Product has a manufacturing defect covered by this warranty, please follow these steps:
3.1. Initial contact
Contact Nimbus Customer Service or the authorized ∆P seller that sold the Product as soon as You become aware of a possible defect. For a suspension Product, do not remove it from the vehicle before contacting Us unless instructed to do so. Do not disassemble or ship a ∆P Product before receiving instructions.
3.2. Obtain return authorization (RA) number
You will be required to obtain a Return Authorization (RA) number from Nimbus Customer Service. No Product returns will be accepted without a valid RA number.
3.3. Required documentation
To submit a claim, You must provide:
- A copy of Your original purchase receipt or invoice.
- A detailed description of the problem, including how and when it occurred.
- Clear photos or videos of the issue from multiple angles.
3.4. Shipping responsibilities
For a suspension Product, You are responsible for safe removal from the vehicle. For any Product, You are responsible for the inbound shipping costs to the location stated in the RA instructions. Use tracking and insurance. Nimbus is not responsible for missing or damaged packages.
Filled ∆P cartridges contain pressurized nitrogen and must not be shipped until Nimbus or the selling warranty holder provides route-specific compliant instructions. The Purchaser remains responsible for following all pressure-vessel and hazardous-material transport requirements.
If the claim is approved and deemed a manufacturing defect, Nimbus will cover reasonable standard shipping costs DAP for the repaired or replaced Product to the original delivery location where the Product was first shipped, or to another destination that Nimbus determines, in its reasonable discretion, to be economically equivalent in shipping cost and logistical accessibility.
If You request shipment to a different location, including a remote, isolated, expedition, temporary travel, or otherwise more expensive destination, Nimbus may agree to ship to that location, but You will be responsible for all additional shipping, handling, customs, carrier surcharge, remote-area surcharge, insurance, storage, or related costs that exceed the cost of shipment to the original delivery location or an economically equivalent destination.
Nimbus is not required to arrange or pay for urgent, expedited, special-route, charter, remote-area, or other non-standard shipping unless expressly agreed in writing.
3.5. Evaluation and resolution
Upon receipt of the Product and all required documentation, Nimbus's Quality Department will evaluate the claim. Nimbus reserves the sole discretion to repair, replace, or refund the purchase price of the defective Product. This repair, replacement, or refund is the exclusive remedy under this warranty. You will be contacted with the evaluation results and proposed resolution.
Exclusions and additional provisions
- Right to refuse service: Nimbus reserves the right to refuse warranty service if the Product has been modified, improperly installed, abused, or if there is evidence that the terms of this warranty have not been met. This includes, but is not limited to, those related to abuse, neglect, improper installation, modifications, and use in competitive events.
- Maintenance compliance verification: Claims may be denied if there is evidence of failure to adhere to the mandatory maintenance schedule.
- Suspension exclusions: Normal wear beyond the stated period; incorrect or incomplete installation; incorrect or missing hardware; tires or wheels outside vehicle or Product specifications; use outside the intended application; gross overload; racing, rallying, or timed competition; commercial or fleet use without a separate written commercial warranty; accident, collision, road hazard, vandalism, fire, flood, or other external events; finishes and coatings, including anodizing, plating, paint, and Cerakote; corrosion or cosmetic change caused by chemicals, salt, abrasion, or sunlight; and damage caused by unauthorized disassembly, re-valving, repair, modification, over-extension without required limit control, or vehicle transport without appropriate anti-tilt protection are not covered.
- Aether and Tesla boundary: Nimbus covers the listed Aether components. Damage to the Tesla vehicle, Tesla-manufactured components, or any claim under Tesla's manufacturer warranty is not covered by this Agreement.
- ∆P exclusions: Normal nitrogen depletion and damage caused by overpressure, incompatible gas or systems, improper filling, storage or transport, contamination, accident, unauthorized repair or modification, or use contrary to instructions are not covered.
- Costs not covered: Unless mandatory law requires otherwise, this commercial warranty does not cover labor for removal or installation, alignment, balancing, calibration, towing, storage, rental vehicles, loss of use, loss of time, lost profits, or other incidental or consequential costs.
- Data exchange: Nimbus may exchange information with other companies and organizations for credit fraud protection and risk reduction, where legally permissible.
Limitation of liability
TO THE FULLEST EXTENT ALLOWED BY LAW, NIMBUS SUSPENSIONS' LIABILITY UNDER THIS COMMERCIAL WARRANTY WILL NOT EXCEED THE COVERED PRODUCT'S PURCHASE PRICE. NIMBUS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHERE SUCH EXCLUSIONS ARE LAWFUL. NOTHING IN THIS AGREEMENT EXCLUDES LIABILITY OR REMEDIES THAT CANNOT LEGALLY BE EXCLUDED.
Governing law and consumer rights
This commercial warranty gives You specific legal rights, and You may also have other rights which vary from state to state or country to country. The benefits provided here are in addition to, and do not replace or shorten, any mandatory legal guarantee, implied warranty, product-liability right, or consumer remedy.
The Two (2) Year ∆P commercial warranty is additional to, and does not replace or shorten, any mandatory legal guarantee or consumer remedy that applies to the purchase.
